 By purchasing INTENSIFYINSIGHT services for resale, you agree to adhere to this Reseller Policy

To ensure that INTENSIFYINSIGHT authorized resellers ("Resellers") can maintain healthy margins and ensure that INTENSIFYINSIGHT end users receive a quality sales and customer support experience, INTENSIFYINSIGHT has announced this Reseller Policy (the "Reseller Policy "). INTENSIFYINSIGHT believes that its end user customers are best served by having resellers who market the INTENSIFYINSIGHT Services as premium branded products and who provide an outstanding level of service and support to their end user customers.

INTENSIFYINSIGHT adopts this Quality and Resale Policy (this "Policy") and requires that each person, company, or entity (as applicable, a "Reseller") that purchases its services (the "Services") for resale or other distribution agrees to comply with this Policy. Accordingly, the terms of this Policy are incorporated into and in addition to any contract entered into between INTENSIFYINSIGHT and Reseller in connection with Reseller's purchase or sale of the Services.

Sales to end users only.

Unless otherwise agreed with INTENSIFYINSIGHT in writing, Reseller may only purchase Services for resale to consumers and end users and Reseller may not resell Services to vendors or otherwise distribute Services.

Internet sales prohibited.

The reseller will be prohibited from selling our Branded Products over the Internet unless they apply, are approved by INTENSIFYINSIGHT, and execute an Authorized Internet Reseller Agreement or other similar agreement that governs how they sell online.

Sales Restricted to the Territory.

If Reseller purchases Services under a contract that obligates Reseller to resell Services in a geographic territory, Reseller must comply with that obligation.

Intellectual property.

Unauthorized use of the intellectual property of our Services is prohibited. Resellers complying with this Policy have a limited, non-exclusive, non-sublicensable, revocable license to use INTENSIFYINSIGHT trademarks and copyrights in connection with the sale of the Products. Reseller will not alter, modify, or change any trademark or copyright, nor will Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor will Reseller use any trademark or copyright in any way that adversely affects said trademark or copyright. Failure to comply with the Policy will result in the automatic revocation of the license granted herein and the total loss of the rights granted herein. INTENSIFYINSIGHT reserves the right to revoke this license at any time for any or no reason;

Inspection Service.

INTENSIFYINSIGHT will promptly inspect all Services upon completion and will promptly return under the terms of sale any Services found to be incomplete or unsatisfactory at the time of inspection.

Sales Practices.

Reseller will conduct its business in a reasonable and ethical manner at all times and will not engage in any misleading, misleading, or unethical advertising or practice at any time or make any warranty or representation with respect to the Services except as expressly authorized by INTENSIFYINSIGHT . Reseller shall comply with applicable laws, rules, regulations, and policies related to advertising, selling, and marketing the Services.

Customer service level.

The reseller will provide the highest levels of customer service. The reseller and the reseller's sales personnel must be familiar with the special features of all INTENSIFYINSIGHT Services marketed for sale and must obtain sufficient product knowledge to advise customers on the selection and safe use of the services, as well as any applicable warranties, guarantees or returns. policy.

Customer service channels.

Reseller will maintain customer service telephone and email response functions as required by the Original Agreement to handle customer complaints, returns and other customer service functions. Upon INTENSIFYINSIGHT's request, Reseller will provide any reports or other information requested by INTENSIFYINSIGHT, with respect to a particular Service to determine the date of Reseller's purchase of the Service, the place where the Service was purchased, and the dates on which Service was sold. or made by the Reseller to a buyer.

Consumer Safety and Service Cancellation.

Reseller will cooperate with INTENSIFYINSIGHT in connection with any investigation of consumer safety claims or any evaluation of termination of service. To ensure the safety and well-being of end users of the Services, Reseller agrees to cooperate with INTENSIFYINSIGHT with respect to any Service termination or other consumer safety information dissemination efforts.

Service failure.

If a significant number of Services purchased by Reseller fail, Reseller will promptly report such event to INTENSIFYINSIGHT.

Report unauthorized resellers.

If Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by INTENSIFYINSIGHT, Reseller must immediately notify INTENSIFYINSIGHT.

Other information, documents, and reports.

Reseller must provide INTENSIFYINSIGHT with all supplemental information, documents, and reports that INTENSIFYINSIGHT may request to validate Reseller's compliance with this Policy and to support INTENSIFYINSIGHT's customer service and warranty support obligations and initiatives.

Unilateral policy changes

INTENSIFYINSIGHT sales personnel have no authority to modify or grant exceptions to this Unilateral Policy. All questions regarding the interpretation of this Policy should be directed to the Reseller Policy Committee at support@domain. com .

Termination and Liability Due to Policy Violation

If INTENSIFYINSIGHT determines that Reseller is violating the Reseller Policy, INTENSIFYINSIGHT may take appropriate legal action, including, but not limited to, refusing to accept orders from Reseller or instructing its distributors to refuse to accept orders from Reseller.

Modification and policy changes

INTENSIFYINSIGHT reserves the right to update, amend or modify this Reseller Policy at any time. Unless otherwise indicated, such amendments shall be effective immediately and Reseller's continued use, advertising, offer to sell, or sale of the Products shall be deemed to be Reseller's acceptance of the amendments.
